Pat Cross leads Faegre Baker Daniels’ national health and life sciences industry team, which includes professionals from practice groups across the firm who are focused on providing services to the firm’s significant list of health and life sciences clients. He’s also a member of the firm’s corporate group and insurance and financial services group.
Pat is an experienced corporate lawyer who helps health care and life sciences companies develop strategies and structure deals to achieve their business objectives, including through mergers, acquisitions, joint ventures and strategic affiliations. He works closely with executives and in-house counsel to develop strategies to address the impact, challenges and opportunities presented by the Affordable Care Act, also known as Obamacare. He combines his experience in structuring and negotiating complex corporate transactions with his deep knowledge of antitrust laws and the complicated regulatory environment in which health care and life sciences companies operate. His clients include emerging and established and for-profit and nonprofit companies.
Health Care Innovation
Pat works with for-profit and nonprofit companies, including entrepreneurial startups, public-private partnerships, employers, health plans, health systems and physician groups, among others, to help them identify new ways to deliver higher quality, more efficient and lower cost health care services in an evolving health care industry. His experience includes assisting clients with creation and operation of Accountable Care Organizations (ACOs), collaborative care and risk sharing arrangements between and among providers, clinical integration, development of commercial and Medicaid products for state health exchanges, development of patient-centered medical home models, helping health systems organize health plans and helping health plans acquire health care providers.
Hospitals & Health Systems
Pat’s health care clients include hospitals, health systems, specialty physician groups, ambulatory surgery centers, therapy companies and other health care providers. He has extensive experience advising clients in implementing Health Care Reform initiatives, such as Accountable Care Organizations (ACOs), health exchanges, collaborative care arrangements, hospital/physician alignment, clinical co-management arrangements, professional services arrangements, joint ventures and other initiatives designed to develop and implement new health care strategies.
Physicians & Physician Groups
Pat regularly works with specialist physicians and physician groups to develop strategies for hospital/physician alignment, the development of clinically and financially integrated provider organizations, joint ventures, call coverage agreements, professional services agreements, co-management arrangements and a wide range of other strategic, regulatory and transactional matters.
Health Plans & Employers
As a member of the firm’s national insurance practice, Pat works with health insurers and employers with self-funded plans to develop and implement new health care strategies, including the development of new clinical delivery models and development of high performance and collaborative care networks. Health plans and employers are focused on finding creative ways to meet the requirements of the Affordable Care Act, with an increased focus on primary care and wellness education.
An increasing number of entrepreneurs are focused on opportunities presented by health care reform and employers’ and the public’s response to it, including development of new health care delivery models, such as primary care and wellness clinics, health care franchising, patient centered medical home initiatives, concierge medicine, arrangements to provide care in lower cost settings and leveraging new health information technologies.
Pat helps life sciences companies, including medical device, pharmaceutical, diagnostic, clinical research and other companies and public-private partnerships negotiate research and development collaborations, outsourcing arrangements, analyze technology transfer and licensing issues and develop regulatory compliance strategies, including provider and payer reimbursement, Anti-Kickback, Stark, Medicare/Medicaid, antitrust and other compliance issues. Pat works with life sciences companies on financing and capitalization transactions, mergers, acquisitions, strategic alliance and joint ventures.
